These Terms and Conditions ("Terms") govern your use of the Tri-State Forwarding Inc. website and the freight forwarding, customs brokerage, and logistics services we provide. By accessing our website or using our services, you agree to these Terms.

Important: These Terms include limitations of liability, indemnification obligations, and dispute resolution procedures that affect your legal rights. Please read them carefully.

Services

Tri-State Forwarding Inc. is a licensed US Customs Broker, licensed NVOCC (Non-Vessel Operating Common Carrier), and IATA-accredited freight forwarder. Our services include international and domestic freight forwarding, customs brokerage, warehousing, trucking coordination, international courier, and freight consolidation.

All services are subject to a separate freight services agreement, rate confirmation, or booking confirmation, which together with these Terms constitute the entire agreement between the parties for each shipment.

Quotes and Rates

  • All quotes are estimates based on information provided by the client at the time of inquiry
  • Quotes are subject to availability of space, carrier capacity, and applicable tariffs at time of booking
  • Tri-State reserves the right to adjust rates for changes in fuel surcharges, currency fluctuations, port fees, or carrier amendments
  • Quotes do not include duties, taxes, government fees, or customs examination charges unless explicitly stated
  • A confirmed booking constitutes acceptance of the quoted rate and applicable surcharges

Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete shipment information including commodity description, weight, dimensions, and declared value
  • Ensuring all required export licenses, permits, and compliance documentation are obtained
  • Proper packaging of goods in accordance with carrier and IATA/IMDG requirements
  • Timely payment of all freight charges, customs duties, taxes, and ancillary fees
  • Notifying Tri-State of any hazardous materials, controlled substances, or restricted goods
  • Accuracy of all HTS codes, commodity descriptions, and declared values provided for customs purposes

Limitation of Liability

Tri-State Forwarding acts as agent for the shipper and consignee and is not liable as a carrier. Our liability for any claim arising from our services is limited to the lesser of:

  • The declared value of the shipment
  • The freight charges paid for the specific shipment giving rise to the claim
  • Limits set by applicable international conventions (Warsaw, Montreal, Hague-Visby, CMR)

Tri-State is not liable for: delays caused by customs authorities, force majeure events, Acts of God, labor disputes, government action, carrier failures, or circumstances beyond our reasonable control. We strongly recommend cargo insurance for all shipments.

Cargo Insurance

Tri-State can arrange cargo insurance on your behalf upon written request. Standard carrier liability is limited and typically does not cover the full value of goods. If you do not request insurance, you assume all risk for cargo loss or damage beyond carrier liability limits.

Payment Terms

  • Freight charges are due within the payment terms specified in your service agreement (typically Net 30 for established accounts)
  • New clients may be required to prepay freight charges
  • Overdue accounts may be subject to interest charges of 1.5% per month
  • Tri-State reserves a lien on all cargo, documents, and proceeds for unpaid charges

Prohibited and Restricted Goods

You agree not to tender for transport any goods that are prohibited by applicable law or carrier regulations, including but not limited to: narcotics, weapons, counterfeit goods, goods infringing intellectual property rights, or goods prohibited by US export control laws (EAR/ITAR). Clients are solely responsible for compliance with all applicable export control regulations.

Indemnification

You agree to indemnify, defend, and hold harmless Tri-State Forwarding, its officers, employees, agents, and partners from and against any claims, damages, losses, and expenses (including attorney fees) arising from: your breach of these Terms; inaccurate or incomplete shipment information; violations of applicable law; or your negligence or willful misconduct.

Governing Law and Disputes

These Terms are governed by the laws of the State of New York, USA, without regard to conflicts of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in New York County, New York, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

Website Use

You may use this website only for lawful purposes and in accordance with these Terms. You agree not to use our website to transmit any malicious code, harvest data, or engage in any activity that interferes with the operation of our systems.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the website. Continued use of our services after changes constitutes acceptance.

PRICING POLICY

Tri-State Forwarding is committed to transparent, competitive, and fair pricing for all freight forwarding and logistics services. This policy explains how we calculate and present pricing.

How We Price Freight

Freight pricing is not one-size-fits-all. We calculate each shipment based on:

  • Mode of transport: Air, ocean, road, courier, or combination
  • Origin and destination: Trade lane, port pairs, and inland routing
  • Commodity and weight/volume: Chargeable weight (whichever is greater: actual weight or volumetric weight)
  • Container type and quantity (ocean): FCL (20', 40', 40'HC, reefer) or LCL consolidation
  • Incoterms: Agreed trade terms (EXW, FOB, CIF, DAP, DDP, etc.)
  • Service level: Standard, expedited, or emergency freight
  • Applicable surcharges: Fuel, peak season, port congestion, destination delivery charges (DDC), terminal handling (THC)
  • Customs and duties: Government-imposed import duties, taxes, and customs examination fees (not included in freight quotes unless stated)

Price Changes

  • Quoted rates are valid for the period specified in the quote (typically 24–72 hours)
  • Carrier rates, fuel surcharges, and port fees are subject to change without notice
  • We reserve the right to adjust rates to reflect market conditions, carrier amendments, or changes in shipment details
  • Confirmed and booked shipments will be honored at agreed rates barring extraordinary circumstances (force majeure, carrier equipment failure, etc.)

Itemized Quotes

All Tri-State quotes are fully itemized. You will see every component of your freight cost before booking. We do not add undisclosed fees after booking. If actual conditions differ from quoted parameters (e.g., cargo heavier than declared), adjustments will be communicated before charges are applied.

How We Save You Money

Tri-State leverages volume buying power, protected space allotments, and carrier relationships to provide rates that are consistently competitive with, and often better than, larger forwarders. We also proactively advise clients when:

  • Waiting a few days would result in a lower rate
  • Consolidating shipments would reduce per-unit cost
  • An alternative routing or mode would better serve your timeline and budget
  • A different Incoterm arrangement would reduce your total landed cost

This advisory approach is why clients consistently report saving an average of $2,000 per shipment after switching to Tri-State.
